Terms of the liquidity agreement
Novacyt, listed on Euronext Growth as ALNOV and AIM as NCYT, entered into the French-law liquidity agreement with Invest Securities on September 12, 2016. The arrangement allows Invest Securities to purchase shares on Novacyt's behalf, subject to shareholder approval of the buyback price and the aggregate funding available for those purchases.
Novacyt's October 1, 2026, update said shareholders had approved purchases at their June 30 meeting at a maximum price of €5.00 per share, with a limit of 10% of share capital. That authorization runs for 18 months from the approval date.
Invest Securities receives €10,000 annually for its services. The agreement provides for an initial two-year term followed by rolling one-year extensions. Either party may terminate it at the end of a period by giving two months' notice.
Revenue, cash and cost reductions
In unaudited first-half results published on September 30, 2026, Novacyt reported statutory group revenue of £11.6 million, up 18% from £9.8 million in the first half of 2025. Its EBITDA loss was £3.9 million and its after-tax loss was £5.8 million, continuing a year-over-year narrowing of losses.
Those results included approximately £1.8 million in revenue from Southern Cross Diagnostics Pty Ltd between its acquisition and June 30. Novacyt completed the purchase of the profitable Australian distributor on March 2, 2026, paying an initial AUD 8.5 million (£4.5 million) in cash. The deal also includes an earn-out of up to AUD 16.5 million (£8.7 million), payable over four years.
The group remained debt-free at June 30, when cash totaled £8.9 million, down from £19.1 million on December 31, 2025. By the end of August, cash was £7.6 million after £0.5 million in restructuring fees.
Novacyt began a workforce consultation on June 1 with a target of reducing annual costs by £4.0 million. As of September, approximately 60 employees had left, delivering about £2.7 million in annual cost reductions. The company expected further labor savings to be recognized in fiscal 2027.
Collaboration and clinical genetics launch
The September 30 interim results also disclosed a Master Collaboration Agreement with Illumina covering an initial five-year term.
In September 2026, Novacyt launched Yourgene Insight DPYD, an assay certified under the In Vitro Diagnostic Regulation (IVDR). The launch expanded its clinical genetics portfolio across regulated European markets. The assay is designed to help identify patients at increased risk of severe adverse reactions to commonly used chemotherapy drugs.
